1. Acceptance of terms
By accessing or using Cendigo services you agree to these Terms, the Privacy Policy, and any applicable order forms. If you do not agree, do not use the services.
2. Services
Cendigo provides managed website design, development, hosting, support, and related services as described on the website and in your active subscription or order form.
3. Subscriptions and billing
Plans are billed monthly or annually in advance. Upgrades are prorated; downgrades take effect at the next renewal. See the Subscription Terms and Cancellation Policy for details.
4. Client obligations
- Provide accurate information and timely content/approvals
- Hold the rights to all submitted assets and content
- Comply with the Acceptable Use Policy
- Maintain account credentials and notify Cendigo of unauthorized access
5. Ownership and license
You retain ownership of your content and brand assets. Custom design and development work is licensed to you during your subscription and fully transferable after 12 consecutive active months.
6. Confidentiality
Both parties protect confidential information disclosed in connection with the services using reasonable care and only for purposes of providing or receiving services.
7. Warranties and disclaimers
Services are provided "as is" except as expressly stated in the SLA. Cendigo disclaims implied warranties to the maximum extent allowed by law.
8. Limitation of liability
To the maximum extent permitted by law, Cendigo's aggregate liability is limited to the fees paid in the 12 months preceding the claim.
9. Termination
Either party may terminate for material breach not cured within 30 days. See the Cancellation Policy for offboarding.
10. Governing law
These Terms are governed by the laws stated in your order form or, if none, the jurisdiction of Cendigo's principal place of business.
